Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "your", or "User") and Studilax ("Company", "we", "us", "our", or "Studilax"), governing your access to and use of the studify.app website, the Studilax mobile application (available on iOS and Android), and all related services, features, and content (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you do not have permission to access the Service. We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time without prior notice.

The Service is intended for users who are at least 13 years of age. By using the Service, you represent and warrant that:

• You are at least 13 years of age or have reached the age of majority in your jurisdiction.
• You have the legal capacity to enter into a binding contract.
• You are not a person barred from receiving the Service under the laws of your jurisdiction.
• Your use of the Service complies with all applicable laws and regulations.

If you are under 18 years of age, you must have permission from a parent or legal guardian to use the Service, and they must agree to be bound by these Terms on your behalf.

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security and confidentiality of your account credentials (username and password).
• Accept full responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account or security breach.

We reserve the right to suspend, disable, or delete your account (or any part thereof) if we determine, in our sole discretion, that you have violated any provision of these Terms or that your account activity is harmful to the Service or other users.

The Service provides access to AI-powered educational tools designed to help you study more effectively. To ensure fair access for all users and to manage operational costs, we enforce the following daily usage limits on AI generation features (including but not limited to: flashcard generation, quiz creation, AI Tutor conversations, content summarization, and explanation generation):

• Daily limits reset at midnight UTC (00:00 UTC) each day.
• Usage is tracked per account, regardless of device or platform.
• One "AI generation" includes each request to create flashcards, generate a quiz, or send a message to the AI Tutor.
• We reserve the right to modify these limits at any time without prior notice.
• Excessive usage that threatens Service stability may result in temporary restrictions.

Studilax leverages artificial intelligence, including Large Language Models (LLMs), to provide personalized educational experiences. You acknowledge and agree to the following regarding AI-powered features:

5.1 Third-Party AI Providers

We use third-party AI service providers, including but not limited to OpenRouter (which provides access to various AI models) and Step-fun (particularly the Step-3.5-flash model), to power our AI features. By using AI features, you consent to your data being processed by these third-party providers.

5.2 Service Availability

• AI features may be temporarily unavailable due to scheduled maintenance, emergency repairs, or third-party service outages.
• High demand periods may result in slower response times or temporary usage restrictions.
• We do not guarantee uptime or availability of any AI feature.

5.3 AI Content Accuracy

5.4 AI Safety & Content Moderation

We implement safety filters and content moderation systems to minimize the risk of offensive or inappropriate content being generated. However, we cannot guarantee that all AI output will be appropriate or free from harmful content. If you encounter inappropriate AI-generated content, please report it to us immediately at studilax.help@outlook.com.

The Service allows you to upload, create, submit, publish, display, or transmit content, including but not limited to: lecture notes, study materials, documents, images, text, flashcards, quiz questions, and other educational content (collectively, "User Content").

6.1 License to User Content

You retain ownership of all User Content you upload to the Service. By uploading User Content, you grant us a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, sublicensable license to:

• Use, store, reproduce, modify, and display your User Content solely for the purpose of providing the Service to you.
• Process your User Content using our AI algorithms to generate flashcards, quizzes, summaries, and other educational outputs.
• Use anonymized and aggregated data derived from your User Content for improving our AI models and Services.

6.2 User Content Representations

You represent and warrant that:

• You own or have the necessary rights to your User Content.
• Your User Content does not infringe upon or violate the intellectual property rights, privacy rights, or any other rights of any third party.
• Your User Content is accurate, lawful, and does not contain prohibited material.

6.3 Content Backup

While we implement reasonable measures to protect your data, you are responsible for maintaining backups of your important User Content. We are not responsible for any loss or corruption of User Content.

7.1 Our Property

The Service, including but not limited to: the website design, layout, graphics, logos, brand names, trademarks, source code, database architecture, UI/UX design, and all software and technology used to provide the Service, are the proprietary property of Studilax and its licensors. All rights, title, and interest in and to the Service and our property are reserved.

7.2 Your Property

You retain full ownership of your User Content (your original study notes, documents, and materials you upload). We do not claim any ownership rights to your User Content.

7.3 AI-Generated Content

Content generated by our AI algorithms based on your User Content (such as generated flashcards, quiz questions, and summaries) is considered "AI-Generated Content." You receive a license to use AI-Generated Content for your personal educational purposes. However, AI-Generated Content may be used by us to improve our Services, and we do not guarantee that such content will remain exclusive to your account.

7.4 Restrictions

You may not copy, modify, distribute, sell, lease, rent, or license any part of the Service without our prior written consent. You may not reverse engineer, decompile, or disassemble the Service, nor attempt to gain unauthorized access to our systems.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload or transmit viruses, malware, or other harmful code.
• Attempt to gain unauthorized access to the Service, user accounts, or computer systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Collect or store personal data about other users without their consent.
• Upload or transmit content that is illegal, offensive, hateful, harassing, defamatory, or obscene.
• Use the Service for any commercial purpose without authorization.
• Attempt to manipulate or circumvent usage limits.
• Use the Service to generate content that could harm minors in any way.
• Impersonate any person or entity or falsely state or misrepresent your affiliation.
• Engage in any activity that could damage, disable, overburden, or impair the Service.

We reserve the right to terminate your account and access to the Service if you engage in any prohibited conduct.

9.1 Termination by You

You may delete your account at any time through your account settings or by contacting us at studilax.help@outlook.com. Upon deletion, your account will be deactivated, and you will lose access to the Service. Please note that deletion of the mobile application does not automatically delete your account.

9.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms.
• Engagement in prohibited conduct.
• Non-payment of fees (if applicable).
• Request by law enforcement or government agencies.
• Extended inactivity of your account.
• Discontinuation of the Service.

9.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We may delete your User Content and account data within a reasonable time after termination, unless we are required by law to retain it. The following provisions will survive termination: Sections 6 (User-Generated Content), 7 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Contact Us).

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT.
• WARRANTIES THAT YOUR USER CONTENT WILL BE STORED OR TRANSMITTED SECURELY.

We do not warrant that the Service will meet your requirements or expectations. Your use of the Service is at your sole risk.

• LOSS OF PROFITS, REVENUE, DATA, OR USE.
• COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES.
• DAMAGES RESULTING FROM: (i) YOUR USE OR INABILITY TO USE THE SERVICE; (ii) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (iii) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (iv) ANY BUGS, VIRUSES, OR HARMFUL CODE TRANSMITTED THROUGH THE SERVICE BY ANY THIRD PARTY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (b) $100 USD.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH DAMAGES ARE CLAIMED, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless Studilax, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Your User Content.
• Your conduct in connection with the Service.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

13.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION AGAINST US.

We may revise these Terms at any time in our sole discretion. The most current version will always be posted on our website. If we make a material change to these Terms, we will provide notice through the Service or by sending an email to the address associated with your account.

By continuing to access or use the Service after any revision becomes effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
